DGC Ontario By-Law Amendments DGC Ontario By-Law Amendments

November 2011

DGC Ontario Voting Members,

The DGC Ontario Executive Board is recommending the implementation of electronic voting ("e-voting") for DGC Ontario elections starting in 2012. To do so requires amendments to the DGC Ontario By-Laws.

The changes involve eliminating wording in some of the Articles that refer to the fact that the elections for the Executive Board happen at the Annual General Meeting ("AGM").

Under the proposed changes, a "Candidates Meeting" will be held separately from and prior to the AGM. Each nominee would speak, discuss pertinent issues and field questions from the floor. This also allows Members so motivated to be nominated from the floor.

The "elections" portion of the AGM will be removed from the AGM Agenda, and held separately, allowing for the launch of elections to be the sole Agenda item at the Candidates Meeting, which will take place no later than three weeks prior to the AGM.

All deadlines regarding "days of notice", appointment of Nominations Chair etc. have been considered, adhered to and worked into the new proposed process.

This new process would not eliminate the need for proxies at the AGM, as quorum would still be required to conduct business and pass motions.

This will be an Agenda item for the upcoming General Meeting on NOVEMBER 13, 2011. We look forward to your input.
